Terms and Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Zippintella Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at 78 Gunrock Enclave, P-1, NR Mudfort, 

Secunderabad, Manu Vikas Nagar, 500009 (“Zippi”, “Company”, “we”, “us”, or “our”), governing your access to, registration on, and use of the technology platform, including all associated websites, mobile applications, software, and related services (collectively, the “Platform”). By accessing, using, or registering on the Platform, you acknowledge that you have read, understood, and expressly agree to be bound by these Terms, including any future modifications or updates, which may be made by the Company at its sole discretion and without prior notice. Continued use of the Platform after any such changes constitutes your acceptance of the updated Terms. If you do not agree to these Terms, you must not access or use the Platform in any manner whatsoever. Zippi operates solely as a digital mobility aggregator and technology intermediary, facilitating the connection between users seeking transportation services and independent, third-party women riders who provide two-wheeler taxi services (“Women Riders” or “Partners”). Zippi does not own, lease, operate, or control any vehicle or transportation services and does not itself provide or purport to provide any transportation or logistics services. Zippi shall not, under any circumstances, be deemed to be a transportation service provider, carrier, employer, representative, agent, partner, joint venturer, or principal of any User or Women Rider. All transportation services are provided directly and independently by the Women Riders under a separate, non-exclusive, and independent contractual arrangement with Zippi. Users acknowledge and agree that Zippi bears no responsibility or liability for the conduct, performance, actions, omissions, or services of any Women Rider or for any disputes, claims, damages, or losses arising therefrom. Zippi expressly disclaims any liability arising from or related to the use of the Platform, reliance on services offered by Women Riders, or any interaction or transaction between Users and Partners, whether arranged through the Platform or otherwise. The Platform is intended solely for persons who are competent to contract under applicable laws, and by using the Platform, you represent and warrant that you are at least 18 years of age and legally capable of entering into binding agreements.

By accessing or using the Platform, you represent, warrant, and covenant that you are at least eighteen (18) years of age, of sound mind, competent to enter into a legally binding contract under applicable law, and are not otherwise prohibited or restricted from using the Platform by any applicable laws, regulations, or judicial or administrative orders. You agree to provide accurate, current, complete, and truthful information during the registration process and to maintain and promptly update your account details, including but not limited to your name, contact information, and valid payment credentials, as necessary to ensure their accuracy and completeness at all times. You are solely and exclusively responsible for safeguarding the confidentiality and security of your account credentials, including your username, password, and any authentication methods linked to your account, and for all activities and actions that occur through or under your account, whether authorized by you or not. You agree to immediately notify Zippi of any actual or suspected unauthorized access to or use of your account. Zippi expressly disclaims any liability arising from or relating to the unauthorized use of your account or any loss or damage resulting therefrom.

By using the Platform, you undertake to use it solely for lawful purposes and in compliance with all applicable laws, rules, regulations, and guidelines. You agree not to use the Platform to engage in or facilitate any activity that is unlawful, illegal, fraudulent, harmful, abusive, harassing, threatening, defamatory, libelous, obscene, invasive of another’s privacy, discriminatory, or otherwise objectionable in any manner as determined by Zippi in its sole discretion. You expressly agree not to harm, harass, intimidate, abuse, endanger, or otherwise mistreat any Women Rider, or engage in any act of gender-based, sexual, racial, religious, or other form of discrimination or misconduct. You shall not exploit or misuse the services or Platform in any manner that disrupts, damages, disables, overburdens, impairs, or interferes with its functionality, security, or integrity, including but not limited to hacking, data scraping, phishing, spamming, transmitting malware or viruses, reverse engineering, circumventing technological protection measures, or engaging in any automated or unauthorized access. Zippi reserves the right to investigate and take legal action, including reporting to law enforcement authorities, against any User found to be in breach of this provision.

All bookings made through the Platform are strictly subject to availability and the operational discretion of the Company and its Partners. Zippi reserves the unconditional and absolute right to accept, reject, suspend, or cancel any booking request at any time and for any reason, without prior notice or liability, and without assigning any justification thereof. A booking, once confirmed via the Platform, constitutes a direct contractual relationship between the User and the respective Women Rider for the provision of transportation services. Zippi merely facilitates this transaction and shall not be held liable for any failure, delay, no-show, quality, or outcome of the ride. Zippi does not warrant or guarantee the availability, punctuality, continuity, safety, suitability, or merchantability of any ride, Women Rider, or vehicle. Users may cancel confirmed bookings in accordance with the applicable cancellation and refund policy set forth on the Platform, which may include cancellation fees, penalties, or forfeiture of fare. Zippi reserves the right to update, modify, or revise the cancellation policy at any time, and such changes shall become binding upon publication. Users who repeatedly cancel rides, engage in fraudulent behavior, or violate the Terms may, at Zippi’s sole discretion, face warnings, restrictions, temporary suspensions, or permanent termination of access to the Platform and its services, without liability or obligation to provide notice, explanation, or compensation.

The fare for each ride facilitated through the Platform shall be transparently displayed to the User prior to booking confirmation and is subject to change at any time due to dynamic pricing models and market variables. Such variables may include, but are not limited to, distance travelled, time of day, demand surges, peak hours, traffic conditions, prevailing fuel prices, governmental levies, and any other relevant economic or operational factors. The final fare shall include all applicable taxes, platform fees, and statutory surcharges, unless expressly stated otherwise. The Company reserves the unrestricted right, at its sole discretion and without prior notice, to revise, modify, or update the fare structures, pricing algorithms, or any components thereof. All payments for rides must be made exclusively through the authorized and integrated digital payment systems made available on the Platform, which may include credit/debit cards, UPI, wallets, or other digital modes approved by the Company. Users acknowledge that Zippi acts merely as a facilitator of such payments and shall not be held liable for any payment failures, transaction delays, unauthorized charges, system downtime, bank-related errors, or other issues arising from third-party payment gateway providers. It is the sole responsibility of the User to ensure sufficient balance, transaction authentication, and successful payment execution. Zippi reserves the right to suspend or restrict access to the Platform in the event of non-payment, payment disputes, or suspected fraudulent activity.

Zippi undertakes to onboard Women Riders onto the Platform only after conducting a structured due diligence process, which may include verification of identity, background checks (subject to availability of public and private databases), driving license validation, and assessment of compliance with applicable motor vehicle and transport regulations. Despite these efforts, Users acknowledge and accept that Zippi does not and cannot guarantee the conduct, character, safety, skill level, punctuality, vehicle condition, or overall service quality of any Women Rider. Zippi acts solely as a technology intermediary connecting independent third-party Women Riders with Users, and does not employ, control, or supervise any Women Rider in any capacity. Consequently, Zippi expressly disclaims all liability for any acts, omissions, misconduct, negligence, delays, loss, injury, accident, damage, or inconvenience caused to the User by any Women Rider, whether during the course of the ride or otherwise. Users are strongly advised to exercise personal judgment, awareness, and caution while engaging with any Partner. Zippi shall not be liable for any loss of property, personal injury, harassment, delay in travel, or events beyond its reasonable control, including but not limited to strikes, riots, natural disasters, acts of God, breakdowns, or other force majeure conditions.

All intellectual property rights, title, and interest in and to the Platform, including but not limited to the source code, object code, design, layout, algorithms, trademarks, trade names, logos, icons, branding elements, written content, software, databases, audiovisual elements, and other proprietary materials, are owned by or duly licensed to Zippi. These assets are protected under applicable intellectual property laws of India and international treaties. Subject to strict compliance with these Terms, Users are granted a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform solely for its intended purposes as set forth herein. Under no circumstances shall the User copy, reproduce, modify, adapt, reverse engineer, decode, disassemble, extract, mirror, frame, republish, upload, transmit, or distribute any part of the Platform or its contents without the express prior written consent of the Company. Unauthorized use of the Platform or any of its proprietary content for commercial, competitive, or unlawful purposes shall constitute a material breach of these Terms and may result in civil and/or criminal liability, in addition to immediate termination of access to the Platform.

Zippi reserves the absolute and unconditional right, at its sole discretion, to suspend, restrict, block, deactivate, or permanently terminate your access to or use of the Platform, in whole or in part, at any time and without prior notice or liability, if it believes or suspects that you have violated or are likely to violate these Terms, engaged in any fraudulent, abusive, harassing, or unlawful activity, misused the services, caused harm, nuisance, or risk to any Women Rider or other Users, or otherwise acted in a manner detrimental to the safety, integrity, or reputation of the Platform or the Company. Such termination may include deletion of your account, ride history, personal information, and denial of future access to the Platform. Zippi further reserves the right to initiate appropriate legal proceedings, cooperate with law enforcement authorities, and seek civil or criminal remedies, including but not limited to injunctive relief and monetary damages, for any loss, harm, injury, reputational damage, or financial loss resulting from your conduct.

You hereby agree to fully indemnify, defend, and hold harmless Zippintella Private Limited (Zippi), its directors, officers, employees, agents, representatives, affiliates, partners, licensors, and service providers from and against any and all claims, demands, actions, suits, proceedings, liabilities, losses, damages, penalties, fines, costs, and expenses (including reasonable legal and attorneys’ fees) arising out of or relating to: (i) your use, misuse, or abuse of the Platform or services; (ii) your violation of these Terms or any other policies or guidelines issued by Zippi; (iii) any misrepresentation, fraud, or negligence on your part; (iv) your violation of any applicable laws, rules, or regulations; or (v) any infringement or alleged infringement by you of any third-party rights, including intellectual property, privacy, or contractual rights. This indemnity obligation shall survive the termination or expiration of your relationship with the Company and your use of the Platform.

These Terms shall be governed by, interpreted, and enforced in accordance with the laws of the Republic of India, without regard to its conflict of law principles. Any dispute, controversy, claim, or disagreement arising out of or in connection with these Terms, the Platform, or the services provided thereunder, including the interpretation, breach, or enforcement of any provision, shall be submitted to the exclusive jurisdiction of the competent civil courts located in Mumbai, Maharashtra, India. You expressly waive any objection to the jurisdiction or venue of such courts. If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court or authority of competent jurisdiction, such provision shall be deemed severed from these Terms, and the remaining provisions shall remain valid, binding, and enforceable to the fullest extent permitted by law.
